Customer Guarantee Terms
These terms govern your reimbursement rights under the FTT Guarantee.
The FTT Guarantee
*The FTT Guarantee exists to reinforce your confidence in Free Trial Terminator™ by providing limited reimbursement when FTT fails to initiate cancellation before the First Recurring Billing Event for an Eligible Managed Subscription.
The Guarantee is not an insurance policy, warranty, or unlimited reimbursement program. It is a limited customer protection program governed by defined eligibility requirements, coverage limits, your responsibilities as a customer, and fraud prevention measures designed to protect both you and FTT Technologies.*
FTT will use commercially reasonable efforts to initiate cancellation before the First Recurring Billing Event for every Eligible Managed Subscription.
1. Definitions
The following terms have specific meanings throughout these Customer Guarantee Terms:
## Interpretation of Defined Terms
Capitalized terms used throughout these Customer Guarantee Terms have the meanings assigned in this Section 1 unless otherwise expressly stated.
Action Required Notice
A notification issued by FTT to the customer indicating that a time-sensitive action is required to maintain cancellation eligibility, including but not limited to identity verification, CAPTCHA completion, two-factor authentication, or provider confirmation. Each Action Required Notice will specify the response timeframe applicable to that notice.
Customer Responsibilities
The obligations described in the FTT Customer Responsibilities document, which is a companion document to these Customer Guarantee Terms and is incorporated herein by reference.
Eligible Managed Subscription
A subscription that satisfies all eligibility requirements set forth in Section 2 of these Customer Guarantee Terms and displays Protected Guarantee Status in the customer dashboard.
First Recurring Billing Event
The first charge assessed by a subscription provider after a free trial period ends or a paid subscription begins, not including: (a) one-time enrollment or setup fees; (b) nominal authorization or identity verification holds; (c) introductory or promotional charges at a rate different from the standard recurring rate; or (d) charges resulting from a customer-initiated plan change. Where a subscription bills annually, the first annual charge constitutes the First Recurring Billing Event.
FTT Coverage Schedule
The separate document published by FTT that establishes applicable reimbursement limits, Coverage Tier thresholds, velocity limits, High Value Subscription parameters, and claim limits. The FTT Coverage Schedule may be updated independently of these Customer Guarantee Terms upon notice in accordance with the Terms of Service.
FTT Shield Email™
The unique email address assigned by FTT to the customer and required for enrollment of subscriptions into the FTT management system.
Guarantee Status
The real-time status indicator displayed in the FTT customer dashboard that reflects a subscription’s current eligibility for Guarantee coverage. The five Guarantee Status states are defined in Section 3.
High Value Subscription
Any subscription designated by FTT as requiring enhanced review based upon recurring cost, provider risk, historical trends, subscription category, or other proprietary risk factors determined solely by FTT. Parameters governing High Value Subscriptions are published in the FTT Coverage Schedule.
2. Eligibility Requirements
A subscription is eligible for reimbursement under the FTT Guarantee only if all of the following conditions are met at the time of the First Recurring Billing Event:
- The subscription was enrolled using the customer’s assigned FTT Shield Email™
- The subscription was successfully accepted and confirmed into the FTT management system
- The customer completed identity verification prior to enrollment
- The subscription displayed Protected Guarantee Status in the customer dashboard
- The customer’s FTT account was active, paid, and in good standing
- The customer satisfied all Customer Responsibilities as described in the FTT Customer Responsibilities document
- The subscription is not subject to any exclusion listed in Section 5
- FTT failed to initiate cancellation before the First Recurring Billing Event
Acceptance of a subscription into the FTT management system does not constitute a guarantee that automated cancellation is technically possible or that reimbursement coverage automatically applies. Customers should confirm their subscription’s Guarantee Status in the FTT dashboard before relying on coverage.
3. Guarantee Status
Every subscription managed by FTT displays one of the following Guarantee Status indicators in your customer dashboard. Status is updated in real time. You should confirm your Guarantee Status before relying on coverage.
🛡️ PROTECTED
Your subscription satisfies all eligibility requirements.
Full Guarantee coverage applies, subject to the coverage limits in your FTT Coverage Schedule.
🟡 CONDITIONAL
Your subscription is being managed by FTT, but one or more conditions must be satisfied before Guarantee coverage becomes active.
Common reasons: identity verification pending, Action Required Notice pending, High Value Subscription approval pending, provider confirmation pending.
Coverage is not active until all conditions are resolved. Check your dashboard for required actions.
🔄 PENDING REVIEW
Your subscription or a related reimbursement request is under review by FTT.
Coverage determination is temporarily suspended pending the outcome of review.
FTT will notify you of the outcome via your registered contact information.
🔴 NOT ELIGIBLE
Your subscription does not qualify for Guarantee coverage.
Common reasons: FTT Shield Email™ not used, identity verification not completed, required actions not completed within the specified timeframe, provider not supported, Terms of Service violation.
⛔ COVERAGE EXHAUSTED
Your account has reached one or more coverage limits established in your FTT Coverage Schedule.
No further reimbursements are available until limits reset or your plan is updated.
Visit your dashboard or contact FTT support for details.
4. Reimbursement Coverage
If an Eligible Managed Subscription incurs a First Recurring Billing Event because FTT failed to initiate cancellation, you may qualify for reimbursement.
Reimbursement is limited to the lesser of:
- The actual First Recurring Billing Event charge; or
- The maximum coverage amount established for your plan and Coverage Tier in the current FTT Coverage Schedule
Coverage limits — including per-subscription limits, per-claim limits, periodic limits, and lifetime account limits — are published in the FTT Coverage Schedule. You should review the FTT Coverage Schedule to understand the limits applicable to your plan and Coverage Tier.
5. Exclusions
The FTT Guarantee does not apply in the following circumstances:
## Customer Action Exclusions
- The customer did not use their assigned FTT Shield Email™ at enrollment
- Identity verification was not completed before enrollment
- An Action Required Notice was not responded to within the timeframe specified in that notice
- Incorrect or incomplete information was provided to FTT
- The customer intentionally delayed or obstructed the cancellation process
## Coverage & Eligibility Exclusions
- The subscription is a High Value Subscription that was not pre-approved by FTT
- The subscription falls outside FTT’s supported providers or supported workflows
- Coverage limits for the customer’s Coverage Tier or plan have been reached
- The claim was submitted after the 14-calendar-day claim window
- The customer’s FTT account was not active, paid, and in good standing at the time of the First Recurring Billing Event
## Third-Party & Technical Exclusions
- Cancellation failure resulted from circumstances beyond FTT’s reasonable control, including but not limited to:
- Provider website outages or system unavailability
- Provider modifications to enrollment, authentication, cancellation, or billing processes
- Third-party authentication, CAPTCHA, or identity verification system failures
- Email delivery failures outside FTT’s infrastructure
- Cloud infrastructure, internet, or payment processor outages
- Government action, natural disasters, cybersecurity incidents, or force majeure events
- Technical failures of third-party vendors relied upon by FTT
Providers may modify their enrollment, authentication, cancellation, or billing processes at any time without notice to FTT. FTT does not guarantee uninterrupted compatibility with every provider at all times. Such modifications may affect FTT’s ability to initiate cancellation and may constitute a Third-Party exclusion.
## Fraud & Abuse Exclusions
- Fraudulent, abusive, deceptive, or bad-faith activity is detected
- Multiple accounts were created to increase Guarantee eligibility
- The customer violated the FTT Terms of Service
6. Documentation & Audit Rights
FTT may request documentation reasonably necessary to verify eligibility for any reimbursement request, including but not limited to invoices, billing statements, billing records, provider communications, identity verification documentation, or any other evidence reasonably related to the reimbursement request.
Customers must provide requested documentation within 14 calendar days of FTT’s request. Failure to provide documentation within this period may result in denial of the reimbursement request.
7. How to Submit a Claim
- Submit your reimbursement request through the FTT platform within 14 calendar days of the disputed charge
- Include all information requested in the claim submission form
- Provide any documentation requested by FTT within 14 calendar days of FTT’s request
- FTT will acknowledge receipt of your reimbursement request through your registered contact information
- FTT will use commercially reasonable efforts to review submitted claims promptly
- If additional information is required, FTT will notify you and provide instructions for completing your claim
- FTT will notify you of its determination through your registered contact information once review has been completed
Claims submitted after the 14-calendar-day window are permanently barred regardless of the circumstances.
8. Exclusive Remedy & Limitation of Liability
Reimbursement under the FTT Guarantee constitutes your exclusive remedy for an Eligible Managed Subscription missed cancellation. By accepting reimbursement, you agree that the reimbursement fully satisfies any claim arising from the missed cancellation.
FTT Technologies shall not be liable for indirect, incidental, consequential, punitive, special, or exemplary damages arising from a missed cancellation, including lost profits, lost opportunities, or damages exceeding the applicable coverage limits in your FTT Coverage Schedule.
9. Claim Review & FTT Determination
FTT will review all reimbursement requests in good faith using the eligibility requirements established in these Customer Guarantee Terms. FTT’s determinations are final except where otherwise required by applicable law.
FTT reserves the right to investigate any reimbursement request, deny or reduce claims that do not satisfy eligibility requirements, and suspend or terminate accounts where fraudulent or abusive activity is detected.
10. Reservation of Rights
Nothing contained within these Customer Guarantee Terms shall be interpreted as limiting FTT Technologies’ right to investigate suspected fraud, suspend or terminate accounts, deny Guarantee eligibility where permitted under these Terms, comply with applicable law, or cooperate with governmental or law enforcement authorities.
11. Electronic Records
The customer agrees that electronic acknowledgements, dashboard Guarantee Status indicators, Action Required Notices, claim submissions, identity verification records, timestamps, audit logs, and other electronic records maintained by FTT may be relied upon as evidence regarding eligibility, claim administration, and compliance with these Customer Guarantee Terms.
12. Relationship to Other FTT Documents
These Customer Guarantee Terms supplement the FTT Terms of Service. If any conflict exists between these Customer Guarantee Terms and the FTT Terms of Service, the Terms of Service shall govern except where these Customer Guarantee Terms expressly provide additional customer protections.
The FTT Customer Responsibilities document describes the obligations customers must satisfy to maintain Guarantee eligibility and is incorporated into these Terms by reference.
The FTT Coverage Schedule establishes reimbursement limits, operational thresholds, and eligibility parameters but does not expand Guarantee eligibility beyond these Customer Guarantee Terms.
The FTT Privacy Policy governs the collection, use, storage, and protection of customer information associated with the FTT Guarantee.
The FTT Coverage Schedule may be updated independently of these Customer Guarantee Terms. Customers should review the FTT Coverage Schedule periodically to confirm current coverage limits.
14. No Waiver
FTT’s failure or delay in exercising any right under these Customer Guarantee Terms shall not constitute a waiver of that right or any other right. Any waiver must be made expressly in writing by FTT.
15. Survival
The provisions relating to reimbursement limitations, fraud investigations, documentation and audit rights, electronic records, limitation of liability, governing law, severability, and any repayment obligations shall survive termination of the customer’s account to the extent permitted by applicable law.
16. Governing Law & Venue
These Customer Guarantee Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of laws principles.
Except where prohibited by applicable law, any dispute arising out of or relating to the FTT Guarantee shall be brought exclusively in the state or federal courts located in the State of Georgia, and each party irrevocably submits to the personal jurisdiction and venue of those courts.
17. Severability
If any provision of these Customer Guarantee Terms is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable provision shall be enforced to the maximum extent permitted by applicable law so as to best reflect the original intent of the parties.
18. Customer Acknowledgement
By activating the FTT Guarantee, you acknowledge that you have read and understood these Customer Guarantee Terms and agree to the following:
I understand that the FTT Guarantee is a limited reimbursement program subject to eligibility requirements, coverage limits, customer responsibilities, provider limitations, and the FTT Terms of Service. I understand that not every managed subscription is automatically eligible for reimbursement, and that I should confirm my subscription’s Guarantee Status in the FTT dashboard before relying on coverage.
This acknowledgement is recorded and timestamped at the time of activation and is associated with your account as an electronic record in accordance with Section 11.
Our Promise
FTT exists to cancel subscriptions before billing.
The Guarantee is our commitment to you when we fall short.
It is not a blank check. It is a promise with boundaries.
